1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the Upstep service available at https://www.upstepasia.com/ (the “Service”), operated by Upstep (“Upstep”, “we”, “our”, or “us”).

By accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree to these Terms, please do not use the Service.

2. Description of Upstep

Upstep is an online mentorship platform that helps users connect with mentors and access mentorship-related services and information. The features available through the Service may change over time as we develop the platform.

3. Accounts

To use certain features of the Service, you may need to create an account. When you do:

• You must provide accurate, current, and complete information and keep it up to date.
• You are responsible for maintaining the security of your account and for all activity that occurs under it. Keep your sign-in credentials confidential and notify us promptly of any unauthorized use.
• Authentication may be provided through email and password or through supported third-party identity providers such as Google. Your use of a third-party identity provider is also subject to that provider’s terms.
• You may not create accounts using false information, impersonate another person, or create accounts on behalf of someone else without their authorization.

4. Acceptable Use

When using the Service, you agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation
• Harass, threaten, intimidate, or abuse other users
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Engage in fraud, deception, or misleading activity
• Access or attempt to access accounts, systems, or data without authorization
• Probe, scan, or test the vulnerability of the Service, or circumvent any security or authentication measures
• Interfere with or disrupt the operation of the Service or the servers and networks that support it
• Use bots, scrapers, or other automated means to access the Service, or send spam or unsolicited communications through the Service

5. Mentorship Relationships

Upstep provides a platform through which users may connect with mentors. Users and mentors are solely responsible for their own interactions, communications, and decisions, including any advice given or received.

Upstep does not guarantee employment, admission to any program or institution, salary, career progression, financial outcomes, or any other specific results from mentorship obtained through the Service. Any decisions you make based on mentorship are your own responsibility.

6. User Content

You retain ownership of any content you submit to the Service, such as profile information and other materials (“User Content”).

By submitting User Content, you grant Upstep a limited, non-exclusive, worldwide, royalty-free license to store, process, reproduce, and display that content solely as necessary to operate, provide, and improve the Service. This license ends when the User Content is deleted from the Service, except where retention is required by law or for legitimate security or dispute-resolution purposes.

You represent that you own or have the necessary rights to submit your User Content and that it does not violate the rights of any third party or these Terms.

7. Intellectual Property

The Service, including its design, text, graphics, logos, and software, is owned by Upstep or its licensors and is protected by applicable intellectual property laws. Except for User Content, you may not copy, modify, distribute, sell, or lease any part of the Service without our prior written permission.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use.

8. Account Suspension and Termination

You may stop using the Service at any time and may request deletion of your account by contacting us at upstep.org@gmail.com.

We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms, if your use poses a risk to the Service or other users, or if required by law. Upon termination, your right to use the Service ends immediately. Provisions of these Terms that by their nature should survive termination will continue to apply.

9. Service Availability

We aim to keep the Service available, but we do not guarantee that it will be uninterrupted, timely, secure, or error-free. The Service may be unavailable from time to time due to maintenance, updates, technical issues, or circumstances beyond our control. We may modify, suspend, or discontinue any part of the Service at any time.

10. Disclaimer of Warranties

To the extent permitted by applicable law, the Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements or that any information obtained through the Service, including from mentors, will be accurate or reliable.

11. Limitation of Liability

To the extent permitted by applicable law, Upstep will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or in connection with your use of or inability to use the Service, or your interactions with other users or mentors.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including any rights you may have under the consumer protection laws of your country of residence.

12. Changes to the Service and These Terms

We may change the Service or these Terms from time to time. When we update these Terms, we will revise the “Last updated” date at the top of this page. If the changes are material, we may also provide additional notice, such as by email or through a notice on the Service. Your continued use of the Service after updated Terms take effect means you accept the updated Terms.
